As a Senior Paralegal, you'll have a unique opportunity to gain exposure within corporate governance, global subsidiary management and transactional and sales support. This person will play a role in preparations in annual Proxy Statements, monitoring corporate governance requirements, providing support for the regular corporate board and committee meetings. Within Global Subsidiary Management, there is opportunity to work on a global scale to oversee annual reports and maintaining subsidiaries over any issues. The Senior Paralegal position is for someone who enjoys taking on new challenges and spreading their skills in more of a board spectrum. This opportunity provides a lot of exposure to many career paths within the team and Tennant.

 

Corporate Governance

  • Assist with preparation of annual Proxy Statement, Form 8-Ks and other securities filings; monitor corporate activities for events required to be reported externally.
  • Oversee compliance and assist with process for executive officer stock trading and Section 16 compliance and prepare and file Forms 3, 4 and 5.
  • Monitor corporate governance requirements of the SEC and NYSE; assist with the implementation, evaluation and monitoring of corporate governance policies, practices and procedures.
  • Oversee the maintenance of shareholder records; assist with the legal review of shareholder communications.
  • Participate in the planning and implementation of the annual meeting of shareholders and regular corporate board and committee meetings.
  • Prepare corporate board resolutions and minutes, assist with development of agendas for Board and committee meetings, maintain corporate record books and assist with corporate secretarial responsibilities for Tennant Company and its domestic and international subsidiaries.
  • Manage vendor relationships for service of process registered agents, transfer agents, translation services, and proxy services.
  • Monitor and interpret Tennant Company equity plans and award documents.

 

Global Subsidiary Management

 

  • Work in all areas related to the management of Tennant’s global corporate structure, which currently consists of more than 60 subsidiaries in 21 countries.
  • Direct and oversee the filing of annual reports.
  • Maintain the good standing of subsidiaries and solve any related issues.
  • Create and maintain the physical and electronic subsidiary corporate books and database records.
  • Facilitate the growth, changes, and needs of the corporate structure such as, but not limited to, director and officer changes, dividend distributions, subsidiary formations and dissolutions, qualifications, withdrawals, Secretary certifications, conversions, and name changes
  • Understand country-specific requirements, and support these other functions with respect to subsidiary management inquiries, reports, and projects.
  • Follow and uphold various policies and processes related to the subsidiary management functions.
  • Maintain corporate organizational charts and other reports.
  • Draft various corporate documents as needed, including resolutions and written actions.

 

Transactional and Sales Support

  • Manage corporate licenses and registrations to do business in states and foreign countries as well as state vehicle licensing.
  • Assist with the preparation of intercompany agreements.
  • Provide assistance and support with company acquisitions and similar transactions.
  • Assist with the preparation of responses to bid requests and RFPs.

 

Requirements

  • Associate Degree (required) or Bachelor Degree (preferred) with a Paralegal certificate
  • Minimum 5 plus years of paralegal experience in corporate, securities and/or transactional setting; law firm experience is a plus
  • Knowledge and experience in corporate governance for a public company
  • Ability to interact and communicate appropriately and professionally with members of a Board of Directors, General Counsel and senior management
  • Knowledge of software programs including document management programs, programs for tracking corporate subsidiary records, and Section 16 compliance
  • Ability to multi-task and manage competing priorities for multiple client groups
  • Ability to manage outside counsel and third party corporate service vendors
